The following Career Opportunity is currently available within Chesapeake Utilities Corporation.

 

Position: Manager, Corporate Governance  

Location: Middletown, DE

 

Responsible for exhibiting Chesapeake Utilities Corporation’s Mission, Vision and Values, regarding external customers, agencies, vendors, internal departments and co-workers.  This position provides support to the Corporate Governance Department on matters relating to legal, corporate governance, and cybersecurity.

 

Primary duties and responsibilities include:

 

Legal

  • Serve as administrator of the Company’s service of process database.

  • Receive, track, and assist with responding to service of process and other legal matters and generate reports to management on same.

  • Support activities relating to hearings, depositions, and other legal proceedings.

  • Serve as the liaison and administrator for contract inquiries.

  • Work closely with the Legal team in preparing and reviewing various legal documents and agreements including confidentiality agreements, transaction documents, master service agreements, etc.

  • Support the Department's efforts in companywide growth initiatives.

Corporate Governance

  • Assist in the preparation of the Company’s Proxy Statement.

  • Assist with compliance filings with the Securities and Exchange Commission and New York Stock Exchange.

  • Assist in drafting reports, presentations and meeting minutes for the Board of Directors and its Committees, as well as internal management Committees.

  • Support the administration of several management-level Committees.

  • Support research and development of corporate governance practices.

Cybersecurity

  • Assist in organizing and preparing materials for cyber security meetings and initiatives.

  • Actively support the Department's efforts in cyber security initiatives.

  • Remain abreast of regulatory requirements and cybersecurity best practices as they relate to the Corporate Governance department.

  • Support vendor relationships and other initiatives related to cybersecurity.

Other

  • Support efforts related to corporate governance matters.

  • Exceptional verbal and written communication skills.

  • Minimum five years’ experience in a managerial, paralegal or similar role.

  • 2-4 year degree or ABA approved paralegal degree.

  • Highly organized and detail oriented.

  • Ability to maintain confidentiality at all times.

  • Ability to work independently with minimal supervision.

  • Strong interpersonal skills.

  • Ability to perform well in a team environment.

  • Ability to meet deadlines.

  • Ability to embrace and drive efficiencies through technology.

     

    Working Conditions:

  • Comfortable office atmosphere located in Middletown, Delaware.
